This is a working draft. The Eclipse Initiative has corporate and securities attorney consults scheduled for Weeks 10–11 of Phase 1; this document should be reviewed and finalized before the signup form goes live.


The short version

This site is an introduction to The Eclipse Initiative — a proposed multi-modal infrastructure corridor from Oregon to Georgia. The site is informational. By using it, you agree to use it lawfully and not to misuse the email addresses we publish. Phase-1 numbers and claims are drafts and may change. The Initiative is not (yet) affiliated with any government agency.

eclipseinitiative.org is a public introduction to The Eclipse Initiative. It contains:

The site is informational and educational. It is not a solicitation to invest, a government communication, or a binding offer of any kind. Quantitative claims on the site (jobs, costs, timelines, revenue, distribution figures) are draft estimates from Phase-1 modeling and will be revised as the project advances. Treat them as directional, not as commitments.


Phase-1 status

The Eclipse Initiative is in Phase 1 — Foundation as of April 2026. The website you are reading is a Phase-1 public introduction. Detailed program materials — the Capital Memorandum, Political Briefing, Podcast Prep Kit, and Multi-Modal Economic Model — exist in draft form and are made available to qualified reviewers on request. Phase-1 documents carry a "DRAFT — NOT FOR DISTRIBUTION" watermark. Quantitative claims may shift as the model is refined.

Intellectual property

Site content — including text, design, logos, images, and the Eclipse name and visual identity — is owned by The Eclipse Initiative or used under license. You may not reproduce it for commercial use without permission. Quoting and linking for non-commercial purposes (journalism, research, public discussion) is welcome and does not require advance approval, provided you attribute the source.

If you send us a suggestion, idea, proposal, or any other unsolicited content (by email or any other channel), you agree that:

The site describes a proposed infrastructure project; it does not give you advice on how to participate in it or evaluate it. For decisions that affect you personally or financially, consult a qualified professional.


No government affiliation (yet)

The Eclipse Initiative is a privately led effort. The corridor framework is designed to be authorized by federal legislation modeled on the Tennessee Valley Authority, but no such legislation exists yet and the Initiative is not currently affiliated with, endorsed by, or operated by any agency of the United States government, any state government, or any local government. References to TVA, the Interstate Highway System, the Apollo program, and other public works on this site are historical and conceptual analogues, not statements of current legal status.


Forward-looking statements

The site contains forward-looking statements about jobs, costs, timelines, revenue, asset life, and distribution figures. These are draft estimates based on Phase-1 modeling and reflect our current best understanding. They are not promises and they may change — sometimes substantially — as the project advances, as the multi-modal economic model is refined, and as authorizing legislation takes shape (or does not). Do not rely on any specific number on this site as a fixed commitment.


Disclaimers

The site is provided "as is" and "as available." To the maximum extent permitted by law, The Eclipse Initiative disclaims all warranties of any kind, express or implied — including warranties of merchantability, fitness for a particular purpose, accuracy, completeness, and non-infringement.

We do not guarantee that the site will be uninterrupted, secure, or error-free, or that any defects will be corrected.


Limitation of liability

To the maximum extent permitted by law, The Eclipse Initiative, its founder, and its agents are not liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of the site — including, without limitation, lost profits, lost data, business interruption, or reputational harm — even if we have been advised of the possibility of such damages.

Our total cumulative liability to you for any claim arising from these terms or your use of the site is limited to one hundred US dollars ($100).


Indemnification

You agree to defend and indemnify The Eclipse Initiative, its founder, and its agents from any claim arising out of (a) your misuse of the site, (b) your violation of these terms, or (c) your violation of any law or third-party right.


Governing law and disputes

These terms are governed by the laws of the State of Washington, United States, without regard to conflict-of-laws principles. Any dispute arising under these terms will be brought exclusively in the state or federal courts located in King County, Washington, and you agree to the personal jurisdiction of those courts.


Changes to these terms

We may update these terms from time to time. The effective date at the top will reflect the most recent revision. If we make material changes — for example, changing the governing-law provision or adding new prohibited uses — we will notify subscribers by email before the changes take effect for them.


Severability and entire agreement

If any provision of these terms is held unenforceable, the remaining provisions remain in effect. These terms, together with the Privacy Policy, are the entire agreement between you and The Eclipse Initiative regarding the site, and supersede any prior understandings.
